Terms of Service

Your access to and use of the Services is conditioned on your acceptance of these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

If you do not agree to these Terms, do not access or use the Services.

You must be at least 18 years old and able to form a binding contract to use the Services.

You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date.

You are responsible for safeguarding your credentials and for any activity under your account.

Noedal provides a software-as-a-service platform that supports regulatory compliance workflows for cosmetics companies.

We may modify, suspend, or discontinue features at any time to improve performance or comply with law, with reasonable notice where practical.

You agree not to misuse the Services, interfere with their operation, or attempt to access systems or data without authorization.

You retain ownership of all data, files, and content that you upload or generate within the Services ("Customer Data").

We process Customer Data only to provide and support the Services in accordance with these Terms and our Privacy Policy.

You will not upload Customer Data that you lack rights to share or that infringes any third-party intellectual property, privacy, or other rights.

Fees and billing terms are described in the applicable order form or subscription plan.

Unless otherwise stated, fees are invoiced in advance and due within thirty (30) days of the invoice date.

Late payments may result in the suspension of your access to the Services and will accrue interest at the maximum rate permitted by law.

Noedal and its licensors retain all rights, title, and interest in the Services and related intellectual property.

You may not copy, modify, reverse engineer, or create derivative works of the Services except to the extent expressly permitted by law.

Any feedback or suggestions you provide may be used by Noedal without obligation to you.

The Services are provided on an "as is" and "as available" basis, and we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, or consequential damages.

Noedal's total liability under these Terms is limited to the fees you paid for the Services in the twelve (12) months before the event giving rise to the claim.

These Terms are governed by the laws of the State of Delaware, USA, and the laws of the Republic of Korea, without regard to their conflict of law principles.

The parties will attempt in good faith to resolve any dispute through informal discussions before initiating formal proceedings.

Unresolved disputes will be submitted to the state and federal courts located in New Castle County, Delaware, USA, or to the Seoul Central District Court in the Republic of Korea, as applicable.

We may update these Terms to reflect changes in legal requirements or our Services.

Material changes will be announced through the Services or by email at least thirty (30) days before they take effect.

Your continued use of the Services after an update takes effect constitutes acceptance of the revised Terms.
